Terms of Service
These Terms govern your access to and use of both EdGeneAI's hosted Agent Platform and its licensed Skills.
1. Acceptance of Terms
By accessing or using EdGeneAI's Agent Platform or any licensed Skill ("the Services"), you agree to be bound by these Terms. If using on behalf of an organisation, you confirm you have authority to bind it.
2. Definitions
"Platform" means EdGeneAI's hosted web interface, API, and pipeline agents. "Skill" means a licensed SKILL.md methodology package executed on Customer's own infrastructure. "Customer Data" means sequencing files or other content processed using the Services.
3. Permitted Use
You agree not to: reverse-engineer or extract source code from the Platform or any Skill; resell or sublicense access without written consent; upload data you don't have rights to analyse; use the Services to build a competing hosted product from a licensed Skill.
4. Platform-Specific Terms
Platform access is subscription or API-based, billed monthly or annually in USD. Cancellation takes effect at the end of the current billing period. Pilot programmes run for a defined period at no cost; Customer Data from a lapsed pilot is deleted within 30 days unless the Customer transitions to a paid plan.
5. Skills-Specific Terms
A Skill license is either one-time or annual, as specified at purchase. The license grants use of the Skill's methodology within Customer's own organisation — it does not grant rights to redistribute, resell, or re-license the Skill to third parties. EdGeneAI provides the Skill "as documented"; Customer is responsible for its own infrastructure and execution.
Scope boundary — Docking/MD Skill specifically: this Skill provides methodology and interpretation guidance. It does not constitute, and must not be represented as, autonomous binding-affinity prediction or a substitute for qualified computational chemistry judgment.
6. Intellectual Property
EdGeneAI retains ownership of the Platform, all Skills, and underlying methodology. Customer retains ownership of Customer Data and of outputs generated from it. EdGeneAI may describe the general nature of work performed (without revealing Customer Data) for marketing purposes.
7. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS." EdGeneAI DOES NOT WARRANT THAT PLATFORM OR SKILL OUTPUTS ARE SUITABLE FOR REGULATORY SUBMISSION, CLINICAL DIAGNOSIS, OR OTHER HIGH-STAKES USE WITHOUT INDEPENDENT EXPERT REVIEW.
8. Limitation of Liability
To the maximum extent permitted by law, EdGeneAI's total liability for any claim is limited to fees paid in the 12 months preceding the claim. EdGeneAI is not liable for indirect or consequential damages.
9. Governing Law
These Terms are governed by the laws of India. Disputes are subject to arbitration under the Arbitration and Conciliation Act, 1996, in Chandigarh, India.
